These Terms of Use (“Terms”) govern your access to and use of the JG Management Group LLC website and its content, forms, scheduling features, product or service pages, and related online features (collectively, the “Website”). By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

ABOUT JG MANAGEMENT GROUP

JG Management Group LLC (“JG Management Group,” “we,” “us,” or “our”) is a privately held management and holding company. Our activities may include operating and supporting businesses, providing Operations & Systems services, evaluating acquisitions and income-producing opportunities, developing strategic partnerships, and managing contractual, intellectual-property, or ownership interests.

Operations & Systems is a business practice of JG Management Group and does not define the full scope of the company. References to portfolio companies, operating businesses, affiliates, investments, partners, or opportunities do not imply that any particular entity is owned, controlled, affiliated, available for investment, or engaged by JG Management Group unless expressly stated in writing.

If that agreement conflicts with these Terms, the written agreement controls for that engagement.

Use of the Website, submission of a form, scheduling of a call, or discussion of a possible project does not by itself create a client, advisory, fiduciary, agency, employment, partnership, joint-venture, or other special relationship.

ACQUISITION, INVESTMENT, AND PARTNERSHIP INQUIRIES

Any acquisition criteria, ownership interests, partnership interests, or transaction preferences shown on the Website are illustrative and non-binding. JG Management Group may accept, reject, pause, change, or discontinue consideration of any opportunity at any time and is not obligated to provide reasons or reimbursement.

No confidentiality obligation is created merely by submitting information through the Website or discussing an opportunity. Do not submit trade secrets, highly sensitive information, or confidential material unless a written nondisclosure agreement or other written confidentiality obligation is already in effect.

You authorize us to review, internally route, and discuss submitted opportunity information with our personnel and, where reasonably necessary, relevant affiliates, portfolio or operating companies, professional advisers, financing sources, specialists, contractors, and potential transaction or strategic partners. This permission does not transfer ownership of your materials.

We may currently or later evaluate, operate, invest in, advise, or transact with businesses, industries, or opportunities that are similar to or competitive with an opportunity you submit, subject to any written obligations we have expressly accepted.

PORTFOLIO COMPANIES AND OTHER ENTITIES

A portfolio company, operating business, affiliate, partner, or entity in which JG Management Group holds an interest may be a separate legal entity. Unless expressly stated in a written agreement, JG Management Group is not responsible for the obligations, conduct, products, services, debts, or liabilities of another entity, and another entity is not responsible for those of JG Management Group.

USER SUBMISSIONS AND COMMUNICATIONS

You represent that information you submit is accurate to the best of your knowledge, that you have authority to provide it, and that providing it does not violate another person’s rights or any agreement. You retain ownership of your submitted materials. You grant us a limited, non-exclusive permission to use, reproduce, review, store, and share them as reasonably necessary to respond to you, evaluate the matter, provide requested services, protect our rights, or complete a contemplated transaction.

Electronic communications and website submissions may not be secure. Do not send passwords, complete payment-card numbers, Social Security numbers, health information, or other highly sensitive personal information through general website forms or ordinary email.

PURCHASES, PAYMENTS, AND CANCELLATIONS

If the Website permits a purchase or payment, the price, payment schedule, cancellation terms, refund terms, and deliverables shown at checkout or in the applicable written agreement govern. Payments may be processed by third-party providers under their own terms. Unless expressly stated otherwise, purchasing a diagnostic, consultation, product, or other offering does not guarantee a particular business outcome.

THIRD-PARTY SERVICES AND LINKS

The Website may link to or embed third-party services, including Squarespace and Acuity Scheduling. We do not control and are not responsible for third-party content, availability, security, terms, privacy practices, products, or services. Your use of third-party services is governed by their terms.

DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” JG MANAGEMENT GROUP DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT GUARANTEE RESULTS FROM USE OF THE WEBSITE, A DISCOVERY CALL, A PROPOSAL, A SERVICE, OR ANY BUSINESS OR TRANSACTION OPPORTUNITY.

LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, JG MANAGEMENT GROUP AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITIES; OR DAMAGES ARISING FROM RELIANCE ON WEBSITE CONTENT, THIRD-PARTY SERVICES, UNAUTHORIZED ACCESS, OR INTERRUPTION OF THE WEBSITE.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR CLAIMS ARISING SOLELY FROM THE WEBSITE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS OR THE AMOUNT YOU PAID DIRECTLY TO JG MANAGEMENT GROUP FOR THE SPECIFIC WEBSITE-BASED OFFERING GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT. These limitations do not apply where prohibited by law or where a separate written agreement expressly provides otherwise.

INDEMNIFICATION

To the extent permitted by law, you agree to defend, indemnify, and hold harmless JG Management Group and its members, managers, officers, employees, contractors, agents, affiliates, and representatives from third-party claims, damages, losses, liabilities, and reasonable costs arising from your unlawful misuse of the Website, your violation of these Terms, or material you submit that infringes or violates another person’s rights.

Our Privacy Policy explains how we collect and use information and is incorporated into these Terms by reference.

CHANGES, AVAILABILITY, AND TERMINATION

We may modify, suspend, or discontinue any part of the Website and may update these Terms by posting a revised version. The “Last updated” date shows the latest revision. Continued use after an update means you accept the revised Terms. We may restrict access where reasonably necessary to protect the Website, our rights, users, or third parties.

GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Subject to any mandatory law that applies, disputes arising solely from the Website or these Terms will be brought in a state or federal court with appropriate jurisdiction in Wyoming, and you consent to that forum.

MISCELLANEOUS

If a provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without our written consent. We may assign these Terms in connection with a reorganization, financing, merger, acquisition, sale, transfer of assets, or operation of the Website. These Terms, together with the Privacy Policy and any applicable written agreement, constitute the entire agreement concerning Website use.
